1. Service Description

DeferredRev ("we," "our," or "us") provides a web-based revenue recognition platform that helps businesses automate ASC 606 compliance, generate revenue schedules, create journal entries, and sync with QuickBooks Online. By accessing or using our service, you agree to be bound by these Terms of Service.

2. User Responsibilities

By using DeferredRev, you agree to:

• Provide accurate and complete information when creating your account.
• Maintain the security of your account credentials.
• Accept responsibility for all activities that occur under your account.
• Use the service only for lawful business purposes.
• Review and verify all revenue recognition calculations and journal entries before relying on them for financial reporting.
• Comply with all applicable local, state, national, and international laws and regulations.

3. Payment Terms

DeferredRev offers subscription-based pricing. By subscribing, you agree to the following:

• Subscription fees are billed monthly or annually in advance, as selected during signup.
• All fees are non-refundable except as expressly stated in these terms or required by applicable law.
• We reserve the right to change pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance of the new pricing.
• Payments are processed securely through Stripe. We do not store your full credit card information.

4. Data Ownership

You retain full ownership of all data you input into DeferredRev, including contract information, customer data, revenue schedules, and journal entries. We do not claim any ownership rights over your data.

You grant us a limited, non-exclusive license to process, store, and transmit your data solely for the purpose of providing the service.

5. Acceptable Use

You agree not to:

• Use the service in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to other users' data or our systems.
• Reverse engineer, decompile, or disassemble any part of the service.
• Use the service to compete directly by creating a similar product using our proprietary methods.
• Interfere with or disrupt the service or servers connected to the service.

6. Limitation of Liability

DeferredRev provides tools to assist with revenue recognition, but we are not a substitute for professional accounting advice. To the maximum extent permitted by law:

• The service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We are not liable for any financial decisions made based on the output of our service.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
• Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

7. Termination

Either party may terminate this agreement at any time:

• By you: You may cancel your subscription at any time from your account settings. You will retain access until the end of your current billing period.
• By us: We may suspend or terminate your account if you violate these terms, with reasonable notice where possible.
• Upon termination: You may export your data before your access ends. We will retain your data for 30 days after termination, after which it will be permanently deleted.

8. Intellectual Property

The DeferredRev service, including its software, design, documentation, and branding, is our intellectual property and is protected by applicable copyright, trademark, and other intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or other branding.

9. Modifications

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on our website and, where appropriate, by email. Your continued use of the service after changes take effect constitutes acceptance of the revised terms.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Delaware.
